# Dispatch2Invoice Terms of Service **Version: November 2, 2026 (revision 3)** These Terms of Service govern Dispatch2Invoice (“D2I”), including its websites, Office portal, Staff support features, Android application and field web application. Dispatch2Invoice is provided under the SystemThread Technologies name (“we,” “us” or “our”). Contact us at **contact@dispatch2invoice.com**. By selecting an acceptance checkbox or otherwise expressly accepting these Terms, you agree to them. If you accept for a business, you represent that you can bind that business. “You” means that business and, where relevant, the person using the Service. These Terms apply from your acceptance date; the version date above does not retroactively change an earlier agreement. # 1. Eligibility and accounts D2I is intended for business use. You must be at least 18 and legally able to enter an agreement. Provide accurate registration, company and billing information and keep it current. Your company controls its workspace, user invitations and permissions. Each person must use their own authorized account. Protect your credentials, use available security controls, and promptly report suspected unauthorized access to contact@dispatch2invoice.com. Do not share credentials or allow someone to use permissions they have not been granted. Company owners and administrators are responsible for assigning appropriate access, removing departing users and ensuring their employees and contractors follow these Terms. We may rely on instructions from an authorized company administrator, subject to reasonable identity and authority checks. # 2. What D2I provides D2I helps businesses manage customers, dispatch, schedules, jobs, field records, timesheets, invoices, payments and related workflows. Features depend on the plan, permissions, device, connection and release in use. Some actions are available only in Office or require an authorized administrator. D2I does not provide legal, accounting, tax, payroll or professional trade advice. You remain responsible for your business operations, work performed, customer commitments, wage calculations, taxes and the accuracy of documents you issue. Use the features actually available in your plan when deciding whether to subscribe. Roadmaps, previews and discussions of future features are not commitments to deliver them by a particular date. # 3. Signup, payment and company activation **The first subscription payment is collected at signup. Payment does not automatically activate a company or grant access to a company workspace.** Signup creates a request for D2I Staff to review. Staff may confirm your company details, review payment status and arrange an owner walkthrough before activating the company. Staff may correct setup information with an audit record. The company owner is responsible for training additional users, using the documentation and support available. Activation requires a separate Staff decision. A payment receipt, successful checkout or pending signup request is not proof that activation has occurred. We may decline requests involving inaccurate information, unsupported use, security concerns or violations of these Terms. Your billing cycle starts on the date shown at checkout, which may precede activation. If you cancel before activation, or we decline to activate your company, we will refund subscription charges collected for that unactivated company. Contact support if activation is delayed; you may cancel rather than wait. # 4. Plans, users and prices Unless an accepted order or eligible offer states otherwise, standard subscription prices are: | Plan | Monthly price in USD | Included field users | | --- | --- | --- | | Solo | $29 | 1 field user | | Team | $79 | Up to 5 field users | Standard Lite Team signup includes up to five field users. If you need more than five, contact Dispatch2Invoice before payment so we can review and approve an exception. Each approved additional field user costs US$15 per month beyond the five included users. Requesting extra seats does not approve an exception or authorize a charge. Approved capacity, the revised recurring total and any applicable proration must be disclosed and authorized before additional payment. Additional field access is granted only after the approved subscription change and payment requirements are confirmed. An exception does not enroll your company in D2I Full; Full is not currently available for general signup. Accounts are designated Office or Field/Tech separately from owner or administrator permissions. Office accounts are included at no additional charge and do not include access to the field apps. Paid seats count field users, including owners who also work in the field. Accounts may not be shared to avoid field-user limits. Your company must have enough purchased field-user capacity for everyone it authorizes to perform field work. The checkout summary identifies the selected plan, user quantity, recurring total, applicable discount and any taxes before you authorize payment. Additional capacity or plan changes require authorization; creating or changing an operational record does not itself authorize a new subscription charge. Any adjustment or proration must be disclosed when you approve a billing change. Prices are in U.S. dollars unless explicitly stated otherwise. Applicable taxes may be added where required. We do not change the price of an already-paid billing period. We will give at least 30 days’ notice of an increase to your recurring price, and you may cancel before the increase takes effect. # 5. Automatic renewal and billing authorization **Paid subscriptions renew automatically each month until canceled.** By completing checkout with recurring-payment consent, you authorize the disclosed initial charge and subsequent monthly charges for your selected plan and user quantity, plus applicable taxes and changes you separately approve. Stripe processes subscription payments. Your use of Stripe-hosted checkout or billing services is also subject to the applicable Stripe terms and privacy information presented there. We do not ask you to send card numbers, passwords or authentication codes through support messages. You are responsible for maintaining a valid payment method and reviewing billing notices. If you believe a charge is incorrect, contact us promptly so we can investigate. Nothing in these Terms restricts payment-dispute rights that applicable law gives you. # 6. Failed renewal payments A failed renewal payment receives a **seven-day grace period** to resolve billing. The applicable payment deadline will be shown in the billing notice or account information. Payment processing may retry a failed renewal under the billing arrangements disclosed to you. After the grace period, we may suspend company access until billing is resolved. Suspension is an access restriction; it does not by itself authorize deletion of your company records. Restoring payment does not bypass any separate security, eligibility or account-review requirement. The grace period applies to failed renewals. It does not activate an unpaid new signup or provide free access to a new company. # 7. Cancellation and refunds You may cancel automatic renewal through the available Stripe customer portal or by contacting contact@dispatch2invoice.com. If the portal is unavailable or you cannot access it, email us from your registered address with your company name and cancellation request. Do not include payment credentials. Cancellation normally takes effect at the end of the current paid billing period, and access continues until then unless it is separately suspended or terminated under these Terms. A cancellation received before renewal prevents the next renewal charge; processing delays on our side will not make you responsible for a renewal you canceled in time. After activation, subscription fees are generally not refunded for a partially used billing period or unused user capacity. Exceptions include the pre-activation refund in Section 3, duplicate or incorrect charges, refunds required by law, and any refund we expressly agree to provide. If we permanently discontinue your paid Service or terminate your subscription for reasons other than your material breach, we will refund the unused prepaid portion. Canceling your D2I subscription does not cancel or refund payments your customers made to your business. # 8. Beta access and existing tester offers Features identified as beta, preview or experimental may change, have limitations or be unavailable temporarily. Beta access does not include a guaranteed service level or a promise of compatibility with every device or browser. Existing eligible free beta testers retain free Lite access throughout beta. Eligible testers are offered **25% off their first 12 paid months after beta**, subject to the offer associated with their account. We will not silently convert free beta access into a paid subscription or charge a payment method without the required purchase consent. The paid conversion screen must explain the discounted price, discount duration and subsequent recurring price. A paid subscription purchased during beta is billed as disclosed at checkout. Free beta eligibility does not automatically make a separately purchased paid plan free. # 9. Company records, privacy and permissions You retain ownership of customer information, job records, photos, documents, invoices, timesheets and other material you submit (“Company Data”). You grant us a limited permission to store, process, transmit and display Company Data as needed to provide, secure, maintain and support the Service and comply with law. This does not transfer ownership of your records to us. You are responsible for having the rights and permissions needed to collect and use Company Data, including employee information, customer photos and location-related information. Do not submit unnecessary sensitive information or full payment-card credentials into notes, attachments or messages. Our handling of personal information is described in our [Privacy Policy](https://www.dispatch2invoice.com/privacy). Company administrators may have access to records and activity within their company, according to their permissions. Support access and disclosures remain subject to applicable privacy commitments and law. Keep independent copies of business-critical records and use available export functions. D2I is not a substitute for your own legally required record-retention practices. # 10. Offline work, synchronization and record accuracy Some features can retain work on a device while offline. **Work is not successfully synchronized merely because it appears on that device.** A connection, valid authorization and server acceptance may be required. Conflicts, rejected changes and unresolved payment outcomes may need review. Do not uninstall the application, clear its data or reset an account or device when unsent work remains unless you have protected that work. Check synchronization and server records before relying on a change for billing, payroll or customer communication. Report unexplained conflicts rather than repeatedly submitting a payment or deleting history. D2I may preserve original operations, audit history and financial records when changes are corrected or reversed. A correction does not necessarily erase the original record. You remain responsible for reviewing invoice numbers, amounts, customer details, payment status and timesheets before using them. # 11. Payments from your customers Your customer transactions are separate from your D2I subscription. Your business is the seller of its goods or services and is responsible for customer authorization, pricing, taxes, receipts, refunds, disputes and compliance with applicable payment-provider requirements. Where D2I connects your business to Stripe or another provider, that provider controls payment processing and its own fees and terms. D2I does not guarantee authorization, settlement, availability of funds or the outcome of a dispute. Opening a payment screen, closing it or creating a payment attempt does not establish that money was received. Cash, check and externally processed card entries are bookkeeping records; they do not themselves charge a card or move funds. Verify the relevant provider or your actual receipt of funds before treating a transaction as settled. # 12. Acceptable use You must not: - Use D2I for unlawful, fraudulent, deceptive or abusive activity. - Access another company’s data without authorization or bypass account, tenant or permission controls. - Upload malicious code, disrupt the Service or attempt to obtain credentials or payment details. - Falsify payment outcomes, audit history, customer consent or another person’s identity. - Upload material you have no right to use or use messaging features to send unlawful or unsolicited communications. - Resell access, copy the Service or reverse engineer it except to the extent applicable law expressly permits. Report suspected security issues privately to contact@dispatch2invoice.com. Do not test security against another company’s records or disrupt production systems. # 13. Software, branding and feedback We and our licensors retain ownership of D2I’s software, designs, documentation and branding. While you comply with these Terms, you may use the Service for your company’s authorized business purposes. Company branding features allow you to display a logo and colors you have the right to use. They do not transfer ownership of D2I or authorize removal of required attribution outside the customization options provided. If you voluntarily send suggestions, we may use them to improve the Service without compensation or an obligation to implement them. This permission does not transfer ownership of your Company Data or override confidentiality and privacy obligations. # 14. Availability, changes and third parties We may maintain, update or modify the Service, including to address security, reliability and usability. Interruptions can result from maintenance, network failures, device restrictions or third-party services. Unless a separate written agreement states otherwise, no specific uptime, support response time or recovery time is guaranteed. Third-party services, app stores, mobile operating systems and browsers have their own terms and limitations. Their availability is outside our sole control. We will provide reasonable advance notice of a material discontinuation affecting paid access where practicable. # 15. Suspension, termination and exports We may restrict access when reasonably necessary for overdue fees, unauthorized use, a material breach, a security threat or a legal requirement. Where practicable and appropriate, we will explain the restriction and give an opportunity to resolve it. Immediate action may be necessary to protect records or other users. You may end your subscription as described in Section 7. On termination, your right to use the Service ends, but provisions concerning accrued charges, ownership, privacy, responsibility for past activity and dispute resolution continue where relevant. Request any needed exports before access ends, or promptly contact support afterward. Cancellation or billing suspension does not itself require immediate deletion, but storage and export availability are not promised indefinitely. Retention and deletion are governed by the Privacy Policy, applicable law and any separate written agreement; some audit, tax, security and transaction records may need to be retained. # 16. Warranties and responsibility To the extent permitted by law, the Service is provided “as is” and “as available.” We do not promise that it will be uninterrupted, error-free, suitable for every business requirement or available on every device. To that extent, we disclaim implied warranties of merchantability, fitness for a particular purpose and non-infringement. These limitations do not exclude any guarantee, duty or remedy that cannot lawfully be excluded. You must not rely on D2I as an emergency-response system or as the sole control for work where a software failure could cause serious injury. # 17. Limits of liability To the extent permitted by law, neither party is liable to the other for indirect, incidental, special or consequential losses, including lost profits or business opportunities, arising from these Terms or the Service. Our total liability for claims arising from the Service or these Terms is limited to the greater of **US$100 or the subscription fees you paid to D2I during the 12 months before the event giving rise to the claim**. These exclusions and limits do not apply to fraud, willful misconduct, gross negligence, or liability that applicable law does not allow to be limited or excluded. They do not relieve you of subscription fees properly owed or either party of an obligation to return money it was not entitled to receive. A court may apply these provisions only to the extent lawful. # 18. Notices, changes and general terms We may deliver service, billing, security and legal notices through your registered email address or the Service. Keep your contact details current. Acceptance of these Terms is not, by itself, consent to unrelated marketing messages. We may update these Terms prospectively. We will identify the new version and provide at least 30 days’ notice of material changes affecting an existing paid subscription, except when a shorter period is reasonably necessary for legal or urgent security reasons. Where affirmative agreement is required, we will request it. Changes do not retroactively authorize charges or alter an already accepted transaction. You may cancel before a future renewal under changed terms. Please contact us first about a dispute so we can try to resolve it. These Terms do not impose mandatory arbitration or waive access to courts or rights that applicable law preserves. These Terms, your accepted order or checkout summary, and any separate written agreement with us describe your service agreement. A separately signed agreement controls a conflict on the subject it expressly covers. If a provision is unenforceable, the remaining provisions continue. A failure to enforce a provision once is not a permanent waiver. # 19.
